NHG advised Colony Capital in the acquisition of the management vehicle of Abraaj CKD
Nader Hayaux y Goebel advised Colony Capital, Inc., on its acquisition of Abraaj Groups private equity platform in Latin America, specifically on the acquisition of Abraaj Mexico Advisers, manager of the CKD trust established by Abraaj in 2015. The manager of the CKD has been renamed Colony Mexico Advisers, S.C., and will continue to be headed by the Company’s senior management team.
The Mexican CKD Trust established by Abraaj in 2015, whose main purpose are investments focused on growth capital in energy, renewables and infrastructure to medium-sized enterprises as well as family businesses seeking for capital and partnerships to accelerate expansion.
The deal presented an interesting challenge as most of the funds acquired globally by Colony should’ve consider the same terms, however the Mexican vehicle presented an additional challenge as it is a publicly traded vehicle with an specific regulation. Additionally, the investors of the Mexican CKD are third parties, mostly retirement funds whose approval was required for the deal to go through. The transaction included coordinating all Fund documentation across several jurisdictions, including Latin America, Turkey and Africa.
