NHG advised FIBRAeMX on the acquisition of a relevant stake in Grupo Autopistas Nacionales, S.A. (GANA), a Mexican concessionaire of the Amozoc – Perote toll road, from Aleatica and Invex. The acquisition is subject to certain conditions, including the approval of the Federal Antitrust Agency (COFECE) and the Ministry of Infrastructure, Communications and Transportation (SICT). FIBRAeMX will acquire a 29% stake in GANA, 18.2% of such participation from Aleatica and 10.8% from Invex. The Amozoc – Perote toll road, crossing the Mexican states of Puebla, Tlaxcala and Veracruz, provides the shortest and safest route from Mexico City to Xalapa, connecting the central region of the country with the Port of Veracruz.

NHG advised Desarrolladora y Operadora de Infraestructura de Oaxaca, a subsidiary of Constructora y Edificadora GIA+A, in the total voluntary redemption of the bonds identified with the ticker symbols “DOIXCB 15” and “DOIXCB 15U”, issued in the context of a public placement of securities made by Banco Invex in its capacity as Trustee of the irrevocable trust number F/2213, made with funds from certain non-revolving credit facility granted by Banobras, as well as in the negotiation, instrumentation and disbursement of such credit facility. The aforementioned in the context of refinancing its federal prison project in Oaxaca, for a total amount of MXN$3,969,171,351.

NHG advised the Water Operator Agency of Hermosillo, Sonora, as the borrower (Agency), on the public bidding process to enter into an approximate USD$15 million loan provided by Corporación Financiera de América del Norte, SOFOM, ENR, (COFIDAN) as the lender, for the refinancing of the Agency’s existing public debt (Loan Agreement).

NHG successfully advised a Apollocom, Química Apollo, Amadeus IT Group, and Soluções de Visão Por Computador through the public bidding process, granting and execution of a public procurement agreement for the Acquisition, Supply, Installation, Commissioning and Operational Start-up of Aviation Security, Airport Management, Passenger Processing, Telecommunications Infrastructure, Cybersecurity and Passenger Support Systems for the Airport City (AIFA) entered into with the Ministry of National Defense (Secretaría de Defensa Nacional), acting through the General Department of Engineers, Engineer Group “Felipe Ángeles”, for a total amount of USD$40,000,000.

NHG advised the Water Operator Agency of Los Cabos Municipality (OOMSAPASLC) in the restructuring process of the Stand-By Credit Line that was executed between the Water Operator Agency as the borrower, the National Bank of Public Works and Services (BANOBRAS) as the lender, and the Municipality of Los Cabos as guarantor. The restructuring process allowed the Municipality of Los Cabos to release approximately USD $19 million allocated as collateral of the Stand-By Credit Line.

NHG advised Citigroup Global Markets, as lead arranger and bookrunner, Citibanamex, as administrative and matters, Citibank, as intercreditor agent and the Institutional Acredited Investors, in a project financing consisting of (i) a term loan in the amount of USD$65MM; (ii) a private placement of notes in the amount of USD$125MM; and (iii) letters of credit in the amount of USD$157MM, for the upgrade and expansion of port logistics and fuel transportation facilities at the Lázaro Cárdenas Port.

NHG advised Mexican construction consortium APP Coatzacoalcos Villahermosa securitise collection rights from a toll road, issuing notes worth MXN$1,950 million in an innovative project financing transaction.Banco Invex and Monex Casa de Bolsa acted as trustee and common representative for the noteholders respectively.

The deal monetises future toll road revenue it will get from drivers using the motorway; it issued the notes through a trust, which is the payment beneficiary under the PPP.

APP Coatzacoalcos Villahermosa is a consortium made up of Portuguese construction company Mota-Engil and Mexican counterparts Calzada Construcciones and Construcciones y Dragados del Sureste.
