NHG Adds Francisco Palmero As Partner

Nader, Hayaux & Goebel (NHG) is delighted to announce the addition of Francisco Palmero, as new partner of the Firm, effective September 11, 2024.

Francisco is an expert in tax and administrative litigation and consultation work, with more than 15 years of experience.

Francisco’s practice is focused on supporting and handling complex tax and administrative disputes before local and federal courts, as well as advising and accompanying clients in tax audits, conclusive agreements and procedures for tax refunds. Francisco also has extensive experience advising on tax matters and consultations regarding federal and local taxes and the application of treaties to avoid double taxation, among other matters.

The incorporation of Francisco as a partner to NHG will strengthen the Firm’s client service and tax practice, expanding the capabilities of NHG to provide comprehensive services to its clients.

Nader, Hayaux & Goebel successfully guided HSBC Mexico through an asset-backed revolving facility to Dimex.

Nader, Hayaux & Goebel successfully advised HSBC Mexico regarding an asset-backed revolving facility for MXN 1,500,000,000.00 granted to Dimex through a Mexican irrevocable security trust (acting as borrower under the facility).  This facility was backed by proceeds from eligible pension loans granted by Dimex to its clients. It was conveyed to the irrevocable security trust acting as the borrower, where HSBC Mexico has a first-priority beneficial interest.

This is an asset-backed non-recourse financing. Dimex’s obligations under the financing documents are limited to complying with specific financial parameters. The implementation of this facility has involved the participation of a Master Servicer to assist Dimex in certain servicing activities and issue or validate the reports delivered to HSBC México under the financing documents.

Partner Luciano Pérez appointed as Chairman of AMEDESEF (Asociación Mexicana de Derecho de Seguros y Fianzas) for the period 2024 – 2026

NHG appoints Jenny Ferrón as Partner

Nader, Hayaux & Goebel (NHG) is delighted to welcome back Jenny Ferrón as a Partner, effective May 1, 2024.

Jenny, a former senior associate at NHG, brings a wealth of expertise in capital markets, banking & finance, private equity and cross-border transactions. Jenny’s industry experience spans to real estate, fintech, public companies, banking and financial services.

During her tenure at NHG, she spearheaded multiple capital markets and financing transactions, and provided counsel to major financial institutions and corporations on debt and equity securities offerings. Jenny has a strong track record in finance matters both in Mexico and abroad.

Prior to rejoining NHG, Jenny worked three years as an associate at a premier global law firm in New York, focusing on public and capital markets transactions as well as structured finance. She holds an LLM degree from the University of Fordham and a law degree from Universidad Panamericana.

Jenny comments “Rejoining NHG as a partner is not only a great honor but also a heartfelt homecoming. Having spent several formative years as a senior associate here, returning feels like reuniting with family. Presentación de la “Guía ASG para México 2023”

Ciudad de México, 27 de marzo de 2024.  El día 20 de marzo de 2024, el Despacho de abogados transaccional Nader, Hayaux & Goebel (NHG) y el Despacho de abogados en litigio Guerra, Hidalgo y Mendoza (GHM) presentaron su “Guía ASG para México 2023” en un evento al que asistieron abogados, altos directivos, consejeros y responsables de sostenibilidad de varios de los corporativos más importantes de México.

La Guía ASG para México fue presentada por un panel compuesto por Alexandra Haas, Directora Ejecutiva de Oxfam México, Pola Salmun, Directora de Relaciones Institucionales y Gobierno del Museo Memoria y Tolerancia y Bernardo Rivadeneyra, Presidente de la Comisión de Gobierno Corporativo del Consejo Coordinador Empresarial (CCE), el cual fue moderado por Jimena Marván, Directora Ejecutiva de Capítulo Cero México, el capítulo local de la Iniciativa de Gobernanza Climática.

La Guía ASG para México es una obra que cubre el marco legal aplicable al que están sujetas las empresas en México, sus funcionarios y consejeros, posibles contingencias y riesgos litigiosos, así como los casos más relevantes relacionados con los criterios ambientales, sociales y de gobierno corporativo (ASG).

El propósito de la Guía ASG para México es divulgar conocimiento sobre el marco legal aplicable a criterios ASG, generar conciencia sobre las normas y políticas referidas y contribuir a que las empresas mitiguen los riesgos legales inherentes a la situación en la que nos encontramos, al transitar a un sistema económico neutro en emisiones de carbono.

En su intervención, Jimena Marván recalcó la importancia que tiene la Guía ASG para México como herramienta útil y práctica para mitigar riesgos legales, e incluso de negocios, para las empresas y aplaudió el esfuerzo de NHG y GHM para contribuir al entendimiento de las temáticas ASG en México y ayudar a las empresas, a sus consejeros y funcionarios a redefinir la forma en la que crean valor y transforman su relación con el medio ambiente y las personas.

Por su parte, Alexandra Haas inició el panel con una brillante participación, analizando los efectos negativos que pueden tener ciertos proyectos industriales para los pueblos indígenas y comunidades marginadas, en los casos en que las empresas desarrolladoras omitan considerar criterios ASG en la elaboración de sus proyectos. Alexandra mencionó que la Guía ASG para México es un buen compendio que puede servir como referencia para que las empresas cumplan con los criterios ASG.

El emotivo discurso de Pola Salmun hizo énfasis en la necesidad de perder la indiferencia ante la emergencia climática en la que nos encontramos y la importancia de que las empresas incorporen criterios ASG en sus operaciones. Pola comentó que siempre y cuando generemos y hagamos conciencia sobre nuestro rol social, se logrará promover el desarrollo social, el rendimiento económico y la utilidad financiera en armonía con la naturaleza y las comunidades, mediante la aplicación de los principios de gobernanza climática y los criterios ASG debidamente adaptados e integrados en la empresa, a los que hace referencia la Guía ASG para México.

Bernardo Rivadeneyra cerró la presentación del panel haciendo referencia a la próxima publicación, de una versión actualizada, del Código de Mejores Prácticas de Gobierno Corporativo del CCE que incorpora los principios de gobernanza climática de Capítulo Cero México y los criterios ASG. Asimismo, felicitó a los Despachos NHG y GHM por su dominio de estos temas y su compromiso y liderazgo en la asesoría y acompañamiento a las empresas para incorporar los criterios ASG en sus operaciones y esfuerzos en estructurar instrumentos financieros verdes y sostenibles para financiar la transición, mitigación y adaptación de empresas que operan en México.

En sus palabras de bienvenida, Yves Hayaux du Tilly, socio de NHG y coordinador de su Grupo de Trabajo para la Transición Sostenible/ASG explicó que los principios de gobernanza climática y los criterios ASG debidamente adaptados e integrados en las empresas, promueven su desarrollo social, rendimiento económico y utilidad financiera en armonía con la naturaleza y las comunidades, garantizando su sostenibilidad ante los riesgos que enfrentan al cambiar a una economía regenerativa neutra en emisiones de carbono.  Asimismo, indicó que para que cada empresa logre abordar adecuadamente la transición en su organización, es necesario que administre adecuadamente riesgos inherentes a la emergencia climática, incluyendo riesgos legales en materia ambiental, social y de gobierno corporativo y cuente con asesoría legal especializada en aquellas áreas en las que NHG goza de inigualable reputación en el mercado mexicano.

Finalmente, Jesús Guerra socio de GHM comentó que existen múltiples herramientas jurídicas para obligar a las empresas a implementar y operar de acuerdo con los criterios ASG descritos en la Guía ASG para México. Jesús enfatizó en que las empresas deben implementar estos criterios sin esperar a que terceros inicien litigios en su contra, considerando que el incumplimiento con los criterios ASG provocaría una pérdida para todas las partes involucradas, al ser irreversibles los daños ambientales y sociales causados por las empresas, aunque posteriormente se les condene al pago de daños.

Con presencia en la Ciudad de México y Londres, NHG fue la primera firma mexicana de abogados que en 2021 formó un Grupo de Trabajo para la “Transición Sostenible/ASG” para ofrecer servicios integrales y acompañar a sus clientes en su transición a una economía sostenible y regenerativa, en la adopción e integración de criterios ambientales, sociales y de gobierno corporativo (ASG). Nader, Hayaux & Goebel (NHG) is delighted to announce the addition of two new partners, José A. Noguera and Marcela Ánimas, effective January 1, 2024.

José A. Noguera, a senior associate at NHG, has been promoted to partner. He brings expertise in corporate M&A, corporate governance, joint ventures, investment funds, cross-border transactions, international commercial transactions, restructuring and workouts, and finance. José’s industry experience spans to automotive, mining, sports, industrial, banking, financial services and logistics.

During his tenure at NHG, José has led multiple M&A and workout transactions, and provided counsel to major international financing and industrial institutions on their equity and debt investments in Mexican companies. He has a strong track record in mergers and acquisitions in Mexico and Latin America.

Before NHG, José was a visiting attorney at a global law firm in Washington, DC, focusing on real estate investment trusts, fund formation, and mergers and acquisitions. He holds an LLM degree from the University of Chicago Law School and a law degree from Universidad Iberoamericana.
