Antitrust Alert – Power Generation, Commercialization and Supply of Electricity Market

On May 6th, 2021, the Mexican Antitrust Commission (Commission) reported in the Official Gazette the commencement of an investigation regarding potential vertical restraints in the market of power generation, commercialization, supply of electricity and associated products, as well as services and activities related to this market in Mexico.

The Commission has stated that in order to support the recovery of the Mexican economy due to COVID-19, one of the sectors they will focus on is energy, which is consistent with the recently filed constitutional controversy against the Decree that reforms the Electricity Industry Law, which has generated uncertainty as to how the wholesale electricity market will operate.

The investigation will take from 30 to 120 business days (with four possible extensions of the 120-day period).

Fines can be up to 8% of each company’s income.

El 6 de mayo de 2021, la Comisión Federal de Competencia Económica (Comisión) informó, a través de un aviso en el Diario Oficial de la Federación del inicio de una investigación por la posible comisión de prácticas monopólicas relativas en el mercado de generación, comercialización al mayoreo y suministro de energía eléctrica y productos asociados, además de servicios y actividades relacionadas con estos mercados en México.

La Comisión ha manifestado que con la finalidad de contribuir a la reactivación de la economía mexicana derivado de la emergencia sanitaria, uno de los mercados en el que se enfocaría sería el energético, lo cual es consistente con la controversia constitucional recientemente interpuesta en contra del Decreto que reforma diversas disposiciones de la Ley de la Industria Eléctrica, que ha generado incertidumbre en la manera en que el mercado eléctrico mayorista operará.

La investigación tomará un plazo de 30 a 120 días hábiles (con cuatro posibles extensiones del periodo de 120 días).

Las multas pueden ser de hasta el 8% de los ingresos de cada empresa.

Mercado de Abastecimiento y Distribución de Bienes de Consumo

Investigación por prácticas monopólicas relativas en el mercado de abastecimiento y distribución al mayoreo de bienes de consumo, comercialización minorista de éstos y servicios relacionados.

El 26 de noviembre de 2020, la Comisión Federal de Competencia Económica (Comisión) informó, a través de un aviso en el Diario Oficial de la Federación, del inicio de una investigación por la posible comisión de prácticas monopólicas relativas conocidas como ventas atadas y la elevación de costos a rivales, en el mercado de abastecimiento y distribución al mayoreo de bienes de consumo, comercialización minorista de éstos y servicios relacionados.

Es importante mencionar que la Comisión publicó un estudio de competencia en el mercado de alimentos y bebidas en el que señala “que las grandes cadenas minoristas pueden imponer términos y condiciones sobre sus proveedores (como retrasar los pagos o aplicar descuentos a estos), y agrega que este tipo de conductas genera incertidumbre a los pequeños proveedores y les transfiere el riesgo de que no se vendan los productos que el minorista ya adquirió, lo que impacta negativamente en sus finanzas.”

La investigación inició el 24 de julio de 2020 y  tendrá un plazo de 30 a 120 días hábiles (con cuatro posibles extensiones del periodo de 120 días, cada una).

Las multas por este tipo de prácticas pueden ser de hasta el 8% de los ingresos de las empresas.

Supply and Distribution of Consumer Goods Market

Investigation regarding vertical restraints in the market of supply and wholesale distribution of consumer goods,  their retail marketing, and other related services.

On November 26, 2020, the Mexican Antitrust Commission (Commission) reported in the Official Gazette, the initiation of an investigation regarding potential tied sales and raising rivals’ costs conducts known as vertical restraints, in the market of supply and wholesale distribution of consumer goods, the retail marketing of such goods, and other related services.

It is important to point out that the Commission published an analysis of competition in the food and beverage  market, in which it states: “large retail chains can impose terms and conditions on their suppliers (such as delaying payments or applying discounts), and adds that this type of behavior creates uncertainty for small suppliers and transfers to them the risk of not selling the products that the retailer already purchased, which negatively impacts their finances.”

The investigation began on July 24, 2020 and should take from 30 to 120 business days (with four possible extensions of the 120-day period, each).

Fines for such practices can be up to 8% of the companies’ income.

La investigación deberá tomar un plazo de 30 a 120 días hábiles (con dos posibles extensiones del periodo de 120 días).

On October 22, 2020, the Federal Telecommunications Institute (Institute) reported in the Official Gazette, the beginning of an investigation to determine the probable existence of barriers to competition and free market access and/or of essential inputs, in the markets of online search engines, social networks, mobile operating systems, cloud services and related services.
The investigation should take from 30 to 120 business days (with two possible extensions of the 120-day period).

The Mexican Federal Antitrust Commission (“Commission”) published new regulations regarding attorney-client privilege (“Regulations”) that became effective on September 30th, 2019.

The Regulations are aimed at establishing a process whereby information resulting from legal advice rendered to clients is qualified as protected with attorney-client privilege and therefore not be considered as evidence.

While the process to analyze the protection request is in progress, the Commission shall take the necessary steps to isolate and preserve the information confidential until the corresponding Committee determines whether or not the request to protect the information is granted.

In the event the information is considered by the Committee as protected by attorney-client privilege, then the exclusion process described in the Regulations must be implemented. Otherwise, in the event the Committee considers the attorney-client privilege is not applicable, it will inform the corresponding unit within the Commission so it can dispose of or use such information.

These new Regulations entail a significant challenge to duly protect legal advice provided to clients under attorney-client privilege.
