José Manuel is an Of Counsel at Nader, Hayaux & Goebel and specializes on corporate and transactional law. Since 2002 has advised public and private companies on mergers, acquisitions, joint ventures, private equity and corporate governance matters.
He has also participated in financings, securitizations and securities offerings, as well as in real estate transactions.
Throughout his career he has worked in leading Mexican and international law firms in the field, noting his collaboration as an International Lawyer at the New York office of Cleary Gottlieb Steen & Hamilton LLP, where he mainly participated in mergers and acquisitions.
He has advised Advent International, BBVA, Banorte, HSBC, Grupo Elektra, Evercore, Ignia, Grupo de Diagnostico Aries, Laboratorios Chopo, Total Play, TPG, TV Azteca and Warburg Pincus, among others, in M&A and finance matters.
A selection of relevant transactions and projects on which Jose has participated, include the merger between Grupo Financiero Banorte and Grupo Financiero IXE, the purchase of Constant Contact by Endurance International Group, the purchase of Cushman & Wakefield by a consortium led by TPG, investments by CDPQ, Temasek and LIV Capital in companies of the health industry, the sale of Finsol to Financiera Independencia, the first DPR cross-border financing to a Mexican company in the amount of USD$500 million, a USD$400 million note offering listed by a Mexican company on the Singapore stock exchange, a USD$191.5 million structured financing to develop the tourism project “Grand Island BVG Cancun” and in the IPOs of two Mexican companies.
José Manuel graduated from Universidad Iberoamericana, attorney at law (Mexico City) and received his LL.M. from Columbia University School of Law (New York).
