{"id":4602,"date":"2021-02-10T11:16:44","date_gmt":"2021-02-10T17:16:44","guid":{"rendered":"https:\/\/www.nhg.mx\/?p=4602"},"modified":"2021-02-25T19:55:14","modified_gmt":"2021-02-26T01:55:14","slug":"recent-regulatory-developments-in-the-mexican-electricity-sector","status":"publish","type":"post","link":"https:\/\/www.nhg.mx\/en_gb\/recent-regulatory-developments-in-the-mexican-electricity-sector\/","title":{"rendered":"Recent regulatory developments in the Mexican electricity sector"},"content":{"rendered":"<ul>\n<li><strong>(A) SUPREME COURT RULES ON CONSTITUTIONAL CLAIM FILED BY COFECE AGAINST THE SENER\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 RESOLUTION<\/strong><\/li>\n<\/ul>\n<p>On February 3<sup>rd<\/sup>, 2021, the Second Chamber of Mexico\u2019s Supreme Court of Justice (the \u201c<u>Supreme Court<\/u>\u201d) issued a final ruling on the constitutional claim filed by COFECE on June 19<sup>th<\/sup>, 2020 regarding the Resolution for ensuring the Reliability, Security Continuity and Quality of the National Electricity Grid published by the Ministry of Energy (\u201c<u>SENER<\/u>\u201d) on May 15<sup>th<\/sup>, 2020 (the \u201c<u>SENER Resolution<\/u>\u201d).<\/p>\n<p>The SENER Resolution has been perceived as an attempt by the Mexican government to favor CFE as a State-owned company, so that CFE regains control of the electricity market instead of applying the free market rules set forth in the electricity laws in Mexico.<\/p>\n<p>In addition, the SENER Resolution aims to impose new restrictions for the interconnection of renewable power plants to the electricity grid, in order to favor and prioritize the interconnection of conventional power plants owned by CFE. In addition, the SENER Resolution aimed to impose roadblocks for the issuance of new generation permits, while strengthening the functions of SENER, CENACE and CFE to plan and operate the electricity grid.<\/p>\n<p>COFECE filed the constitutional claim against the SENER Resolution arguing that (i) it affects free competition in the electricity market; (ii) it affects the principle of open and non-discriminatory access to the grid provided in the LIE; (iii) it compromises the economic dispatch of electricity; (iv) it violates the principle of constitutional supremacy, since the resolution contains provisions that are contrary to those included in the Mexican Constitution through the Energy Reform.<\/p>\n<p>Through its ruling, the Supreme Court declared invalid the following provisions of the SENER Resolution:<\/p>\n<ul>\n<li>The \u201cstrategic projects\u201d to be appointed by SENER for the benefit of CFE;<\/li>\n<li>granting preferential interconnection to such projects appointed by SENER;<\/li>\n<li>the feasibility test to be conducted by CENACE for the interconnection of projects;<\/li>\n<li>granting priority to the reliability of the dispatch, instead of the economic dispatch.<\/li>\n<\/ul>\n<p>However, the Supreme Court recognized as valid several provisions such as (i) the provision that strengthens CFE\u2019s strategic planning for the reliability of the electric grid; (ii) the imposition of costs to intermittent clean energy generators if additional ancillary services are required to ensure the reliability of the grid; and (iii) the provision establishing that the capacity of intermittent clean energy plants do not contribute to the reliability of the grid, and therefore, such capacity will be considered a decrease in the annual capacity requirements of load servicing entities, proportionally.<\/p>\n<p>Such provisions may still be declared invalid by means of the constitutional claims <em>(amparos<\/em>) filed by industry participants before federal courts, and under other type of legal arguments (i.e. environmental).<\/p>\n<p>&nbsp;<\/p>\n<ul>\n<li><strong>(B) BILL TO AMEND AND SUPPLEMENT THE ELECTRICITY INDUSTRY LAW<br \/>\n<\/strong><\/li>\n<\/ul>\n<p>On February 1<sup>st<\/sup>, 2021, Mexican President Andr\u00e9s Manuel L\u00f3pez Obrador introduced to the House of Representatives <em>(C\u00e1mara de Diputados<\/em>) a bill with the purpose of amending and supplementing the Electricity Industry Law (<em>Ley de la Industria El\u00e9ctrica<\/em>) (the \u201c<u>Proposed Bill<\/u>\u201d).<\/p>\n<ol>\n<li><strong>Main Aspects of the Proposed Bill<\/strong><\/li>\n<\/ol>\n<p>The main aspects of the Proposed Bill are the following:<\/p>\n<ol>\n<li><em><u>Dispatch<\/u><\/em>: The Proposed Bill changes the order in which electricity is dispatched to the electricity grid, and suggests the following priority:<\/li>\n<\/ol>\n<ul>\n<li>Hydroelectric plants owned by Federal Electricity Commission (\u201c<u>CFE<\/u>\u201d);<\/li>\n<li>other power plants owned by CFE (i.e. geo-thermal, combined cycle);<\/li>\n<li>wind and solar plants owned by private entities;<\/li>\n<li>combined cycle plants owned by private entities.<\/li>\n<\/ul>\n<p>By preventing the early dispatch of wind and solar plants that use the most efficient or economic sources of energy (economic dispatch), the Proposed Bill favors dispatch for physical delivery of plants owned by CFE.<\/p>\n<ol start=\"2\">\n<li><em><u>CELs<\/u><\/em>: Clean energy certificates (\u201c<u>CELs<\/u>\u201d) are granted to renewable power plants that commenced operations after August, 2014 with the purpose of accelerating the transition to clean energies. The Proposed Bill intends to eliminate such purpose by allowing ageing hydroelectric plants to obtain CELs, thus favoring CFE and eliminating incentives to develop new sources of renewable energy.<\/li>\n<li><em><u>Long-Term Auctions<\/u><\/em>: The Proposed Bill eliminates the obligation of CFE Suministrador de Servicios to acquire electricity through long-term electricity auctions (<em>subastas el\u00e9ctricas<\/em>) organized by the National Center of Energy Control (CENACE), due to an alleged scheme in which only private entities benefit to the detriment of CFE.<\/li>\n<li><em><u>Permits<\/u><\/em>: Permits granted under the self-supply (<em>autoabasto<\/em>) scheme used prior to the Energy Reform in 2013 may be revoked if these are used as a \u201cfraudulent evasion of the law\u201d (<em>fraude a la ley<\/em>) to satisfy the electricity supply needs of third parties.<\/li>\n<\/ol>\n<p>In addition, requests for generation permits issued by the Energy Regulatory Commission (CRE) under the Electricity Industry Law (\u201c<u>LIE<\/u>\u201d) may be denied under criteria related to the planning of the electricity grid.<\/p>\n<ol start=\"5\">\n<li><em><u>Independent Producers<\/u><\/em>: The Proposed Bill also suggests reviewing the agreements entered by CFE with independent producers prior to the Energy Reform based on their legality and the profitability for the Mexican government. Based on such review, the agreements may be re-negotiated or terminated.<\/li>\n<\/ol>\n<p><strong>Effects of the Proposed Bill.<\/strong><\/p>\n<p>The Proposed Bill may have the following effects:<\/p>\n<ol>\n<li>Higher economic and environmental costs for the final users, including industries, commerce and individuals, by giving preference to energies whose sources are more expensive and harmful to the environment, such as fossil fuels;<\/li>\n<li>Undermining the purpose of CELs which is to accelerate a transition to clean energies. Such effect may result in possible violations of international agreements and treaties to which Mexico is a party, such as the Paris Agreement on climate change, as well as other Mexican laws such as the Energy Transition Law (<em>Ley de Transici\u00f3n Energ\u00e9tica<\/em>) and the Climate Change Law (<em>Ley General de Cambio Clim\u00e1tico<\/em>);<\/li>\n<li>Preventing CFE to purchase electricity through auctions will not guarantee lower energy prices to final users. Discretion to purchase electricity may open the door to permanent electricity subsidies in the residential and agricultural sectors, since efficiency will no longer be determining factor to purchase electricity. Such subsidies may result in untenable expenses for the Mexican government and may affect CFE\u2019s finances.<\/li>\n<li>The possibility of revoking self-supply permits or denying the issuance of generation permits creates legal uncertainty to investors by either retroactively affecting the conditions under which they made their investments or preventing them to develop their projects in Mexico.<\/li>\n<li>Possible violation of the new United States-Mexico-Canada Agreement (USMCA), since the Proposed Bill may fall under the definition of an indirect expropriation.<\/li>\n<li>From an antitrust perspective, the Initiative undermines free competition and the efficient development of the electricity market, since it grants a discriminatory treatment to efficient generators and favors CFE.<\/li>\n<li>If the Proposed Bill is approved by Congress and the LIE is modified, the affected industry participants may challenge the modified LIE before federal courts by means of amparo proceedings, which could potentially suspend the implementation of the applicable provisions, first on a provisional basis and, subsequently, on a permanent basis when a final ruling is issued by the court. Further, the Initiative may be challenged by the Mexican Antitrust Commission (\u201c<u>COFECE<\/u>\u201d) through a constitutional challenge filed with Mexico\u2019s Supreme Court.<\/li>\n<li>In addition, international investors could potentially file claims under international investment treaties based on the protections provided by such treaties (i.e. no undue discriminatory treatment, no expropriation without compensation, among others).<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p><strong>RECIENTES CAMBIOS REGULATORIOS EN EL\u00a0 SECTOR EL\u00c9CTRICO MEXICANO<\/strong><\/p>\n<ul>\n<li><strong>(A) LA SUPREMA CORTE RESUELVE CONTROVERSIA CONSTITUCIONAL PROMOVIDA POR COFECE CONTRA EL ACUERDO DE SENER<\/strong><\/li>\n<\/ul>\n<p>El 3 de febrero de 2021, la Segunda Sala de la Suprema Corte de Justicia de la Naci\u00f3n (la \u201c<u>Suprema Corte<\/u>\u201d) emiti\u00f3 su sentencia definitiva sobre la controversia constitucional promovida por COFECE el 18 de junio de 2020, en relaci\u00f3n a la Pol\u00edtica de Confiabilidad, Seguridad, Continuidad y Calidad en el Sistema El\u00e9ctrico Nacional, publicada por la Secretar\u00eda de Energ\u00eda (\u201c<u>SENER<\/u>\u201d) el 15 de mayo de 2020 (el \u201c<u>Acuerdo SENER<\/u>\u201d).<\/p>\n<p>El Acuerdo SENER ha sido percibido como una muestra de c\u00f3mo la pol\u00edtica energ\u00e9tica del actual gobierno mexicano tiene como objetivo fortalecer a la CFE para que domine el mercado el\u00e9ctrico, en lugar de que el mercado se rija por los criterios de libre competencia contenidos en las disposiciones legales aplicables al sector el\u00e9ctrico.<\/p>\n<p>Asimismo, el Acuerdo SENER intenta limitar la interconexi\u00f3n de centrales el\u00e9ctricas renovables para dar prioridad a centrales el\u00e9ctricas convencionales de la CFE, otorg\u00e1ndoles un rol m\u00e1s significativo en la planeaci\u00f3n del sistema el\u00e9ctrico nacional. Asimismo, impone barreras para la emisi\u00f3n de nuevos permisos de generaci\u00f3n, al mismo tiempo que fortalece las funciones de la SENER, el CENACE y la CFE para planear y operar la red el\u00e9ctrica.<\/p>\n<p>COFECE promovi\u00f3 la controversia constitucional contra el Acuerdo SENER argumentando que (i) afecta la libre competencia en el mercado el\u00e9ctrico; (ii) afecta el principio de acceso abierto y no discriminatorio a la red contenido en la LIE; (iii) compromete el despacho econ\u00f3mico de electricidad; (iv) viola el principio de supremac\u00eda constitucional, ya que el acuerdo contiene disposiciones que son contrarias a las que fueron incluidas a la Constituci\u00f3n Mexicana a trav\u00e9s de la Reforma Energ\u00e9tica.<\/p>\n<p>En su sentencia, la Suprema Corte declar\u00f3 inv\u00e1lidas las siguientes disposiciones del Acuerdo SENER:<\/p>\n<ul>\n<li>Los \u201cproyectos estrat\u00e9gicos\u201d a ser designados por SENER para beneficio de la CFE;<\/li>\n<li>el otorgamiento de interconexi\u00f3n preferente en relaci\u00f3n a dichos proyectos estrat\u00e9gicos designados por SENER;<\/li>\n<li>las evaluaciones de factibilidad a ser realizadas por el CENACE respecto a las solicitudes de interconexi\u00f3n para proyectos;<\/li>\n<li>el orden de despacho que da prioridad a la seguridad del despacho, en lugar del despacho econ\u00f3mico.<\/li>\n<\/ul>\n<p>Sin embargo, la Suprema Corte reconoci\u00f3 como v\u00e1lidas distintas disposiciones, tales como (i) la disposici\u00f3n que fortalece la planeaci\u00f3n estrat\u00e9gica de la CFE para la confiabilidad del sistema el\u00e9ctrico; (ii) la imposici\u00f3n de costos a los generadores de energ\u00eda limpia intermitente en caso de que se requieran servicios conexos adicionales para asegurar la confiabilidad del sistema el\u00e9ctrico;\u00a0 (iii) la disposici\u00f3n que establece que la potencia generada por las centrales de energ\u00eda limpia intermitente no contribuye a la confiabilidad del sistema el\u00e9ctrico, y por ende, dicha potencia se considerar\u00e1 una disminuci\u00f3n de los requisitos anuales de potencia de las entidades responsables de carga, de manera proporcional.<\/p>\n<p>Dichas disposiciones a\u00fan podr\u00edan ser declaradas inv\u00e1lidas a trav\u00e9s de los amparos interpuestos por los participantes del mercado ante juzgados federales, y bajo otro tipo de argumentos legales (i.e. ambiental).<\/p>\n<ul>\n<li><strong>(B) INICIATIVA PARA REFORMAR Y ADICIONAR LA LEY DE LA INDUSTRIA EL\u00c9CTRICA<\/strong><\/li>\n<\/ul>\n<p>El 1 de febrero de 2021, el presidente de M\u00e9xico, Andr\u00e9s Manuel L\u00f3pez Obrador, present\u00f3 a la C\u00e1mara de Diputados una iniciativa para reformar y adicionar la Ley de la Industria El\u00e9ctrica (la \u201c<u>Iniciativa<\/u>\u201d).<\/p>\n<ol>\n<li><strong>Principales Caracter\u00edsticas de la Iniciativa<\/strong><\/li>\n<\/ol>\n<p>Las principales caracter\u00edsticas de la Iniciativa son las siguientes:<\/p>\n<ol>\n<li><em><u>Despacho<\/u><\/em>: La iniciativa cambia el orden para el despacho de electricidad en el sistema el\u00e9ctrico, y sugiere la siguiente prioridad:<\/li>\n<\/ol>\n<ul>\n<li>Centrales hidroel\u00e9ctricas de la Comisi\u00f3n Federal de Electricidad (\u201c<u>CFE<\/u>\u201d);<\/li>\n<li>otras centrales de la CFE (i.e. geot\u00e9rmicas, ciclo combinado);<\/li>\n<li>centrales e\u00f3licas y solares privadas;<\/li>\n<li>centrales privadas de ciclo combinado.<\/li>\n<\/ul>\n<p>Al prevenir el despacho preferente de centrales e\u00f3licas y solares que usan los recursos econ\u00f3micos de energ\u00eda m\u00e1s eficientes (despacho econ\u00f3mico), la Iniciativa favorece el despacho por entrega f\u00edsica de centrales que son propiedad de CFE.<\/p>\n<ol start=\"2\">\n<li><em><u>CELs<\/u><\/em>: Los certificados de energ\u00eda limpia (\u201c<u>CELs<\/u>\u201d) son otorgados a centrales de energ\u00eda renovable que comenzaron operaciones despu\u00e9s de Agosto de 2014 con el prop\u00f3sito de acelerar la transici\u00f3n a energ\u00edas limpias. La Iniciativa pretende eliminar dicho prop\u00f3sito al permitir que centrales hidroel\u00e9ctricas m\u00e1s antiguas obtengan CELs. Por lo tanto, se favorece a la CFE y se eliminan incentivos para desarrollar nuevas fuentes de energ\u00eda renovable.<\/li>\n<li><em><u>Subastas El\u00e9ctricas<\/u><\/em>: La Iniciativa elimina la obligaci\u00f3n de la CFE Suministrador de Servicios B\u00e1sicos de adquirir electricidad a trav\u00e9s de subastas el\u00e9ctricas organizadas por el Centro Nacional de Control de Energ\u00eda (\u201c<u>CENACE<\/u>\u201d), debido a un supuesto mecanismo que s\u00f3lo favorece a entidades privadas, para el detrimento de la CFE.<\/li>\n<li><em><u>Permisos<\/u><\/em>: Los permisos otorgados bajo el esquema de autoabasto utilizado previo a la Reforma Energ\u00e9tica del 2013, podr\u00e1n ser revocados si se usan como \u201cfraude a la ley\u201d para satisfacer la demanda de electricidad de terceros.<\/li>\n<\/ol>\n<p>En adici\u00f3n, las solicitudes de permisos de generaci\u00f3n emitidos por la Comisi\u00f3n Reguladora de Energ\u00eda (CRE) bajo la Ley de la Industria El\u00e9ctrica (\u201c<u>LIE<\/u>\u201d) podr\u00e1n ser negadas bajo criterios relacionados a la planeaci\u00f3n del sistema el\u00e9ctrico.<\/p>\n<ol start=\"5\">\n<li><em><u>Productores Independientes<\/u><\/em>: La Iniciativa sugiere revisar los contratos celebrados entre la CFE y productores independientes previo a la Reforma Energ\u00e9tica para determinar su legalidad y la rentabilidad que representan para el gobierno mexicano. Con base a dicha revisi\u00f3n, los contratos podr\u00e1n ser renegociados o terminados.<\/li>\n<\/ol>\n<p><strong>Efectos de la Iniciativa<\/strong><\/p>\n<p>La Iniciativa podr\u00eda tener los siguientes efectos:<\/p>\n<ol>\n<li>Costos econ\u00f3micos y ambientales m\u00e1s elevados para los usuarios finales, incluyendo industrias, comercios y particulares, al dar preferencia a energ\u00edas cuya fuente es m\u00e1s cara y da\u00f1ina para el medio ambiental, como lo son los combustibles f\u00f3siles;<\/li>\n<li>Menoscabo al prop\u00f3sito de los CELs que es acelerar la transici\u00f3n a energ\u00edas limpias. Dicho efecto podr\u00eda resultar en posibles violaciones a tratados internacionales de los que M\u00e9xico forma parte, como el Acuerdo de Paris sobre el cambio clim\u00e1tico, as\u00ed como otras disposiciones legales en M\u00e9xico como la Ley de Transici\u00f3n Energ\u00e9tica y la Ley General de Cambio Clim\u00e1tico.<\/li>\n<li>Prevenir que la CFE adquiera electricidad a trav\u00e9s de subastas el\u00e9ctricas no garantizar\u00e1 precios energ\u00e9ticos m\u00e1s bajos a los usuarios finales. La discreci\u00f3n para adquirir electricidad podr\u00eda generar subsidios permanentes en los sectores residencial y de agricultura, ya que la eficiencia no ser\u00e1 el factor determinante para la adquisici\u00f3n de electricidad. Dichos subsidios podr\u00edan generar gastos insostenibles para el gobierno mexicana y podr\u00eda afectar las finanzas de la CFE.<\/li>\n<li>La posibilidad de revocar permisos de autoabastecimiento o negar solicitudes de permisos de generaci\u00f3n genera incertidumbre legal para los inversionistas, ya sea que se vean afectadas las condiciones en las que hicieron sus inversiones de manera retroactiva, o impidiendo que desarrollen sus proyectos en M\u00e9xico.<\/li>\n<li>Posible violaci\u00f3n al Tratado entre M\u00e9xico, Estados Unidos y Canad\u00e1 (T-MEC), ya que la Iniciativa podr\u00eda caer en la definici\u00f3n de una expropiaci\u00f3n indirecta.<\/li>\n<li>Desde la perspectiva de competencia econ\u00f3mica, la Iniciativa perjudica la libre competencia y el desarrollo eficiente del mercado el\u00e9ctrico, ya que otorga un trato discriminatorio a generadores eficientes para el beneficio de la CFE.<\/li>\n<li>Si la Iniciativa es aprobada por el Congreso y se modifica la LIE, los participantes del mercado que se vean afectados podr\u00e1n disputar la LIE modificada ante juzgados federales a trav\u00e9s de amparos, que podr\u00edan suspender la implementaci\u00f3n de las dispersiones aplicables, primero de forma provisional, y posteriormente de forma permanente cuando el juzgado emita su sentencia definitiva.
