{"id":4737,"date":"2021-04-28T07:10:20","date_gmt":"2021-04-28T13:10:20","guid":{"rendered":"https:\/\/www.nhg.mx\/?p=4737"},"modified":"2021-04-28T17:22:52","modified_gmt":"2021-04-28T23:22:52","slug":"new-secondary-regulations-applicable-to-ifpes","status":"publish","type":"post","link":"https:\/\/www.nhg.mx\/es\/new-secondary-regulations-applicable-to-ifpes\/","title":{"rendered":"New Secondary Regulations Applicable to IFPEs"},"content":{"rendered":"<div>On January 28, 2021 the National Banking and Securities Commission (<i>Comisi\u00f3n Nacional Bancaria y de Valores<\/i>) (\u201c<b><u>CNBV<\/u><\/b>\u201d) and The Mexican Central Bank <i>(Banco de M\u00e9xico<\/i>) issued secondary regulations [1] (the \u201c<b><u>Regulations<\/u><\/b>\u201d) applicable to electronic payment funds institutions (\u201c<b><u>IFPEs<\/u><\/b>\u201d, for their acronym in Spanish). The Regulations became effective on April 28, 2021.<\/div>\n<div><\/div>\n<div><span class=\"\">The purpose of the Regulations is, among others, to <b>(i)<\/b> provide final customers of IFPEs with certainty as to the entities they contract with when acquiring financial products and services, and <b>(ii)<\/b> limit the types of transactions that may be carried out by third parties <b><i>on behalf<\/i><\/b> of IFPEs.<\/span><\/div>\n<div><\/div>\n<div><span class=\"\">Subject to approval from CNBV, IFPEs may enter into agency mandates (<i>comisiones mercantiles<\/i>) [2] (\u201c<b><u>Agencies<\/u><\/b>\u201d) with agents (\u201c<b><u>Agents<\/u><\/b>\u201d) who can contract on their behalf with the public, exclusively regarding the following transactions (the \u201c<b><u>Permitted Transactions<\/u><\/b>\u201d):\u00a0<\/span><\/div>\n<div><\/div>\n<div><span class=\"\"><b>1.\u00a0 \u00a0 \u00a0\u00a0<\/b>Cash withdrawals by customers of the IFPE against their respective e-accounts;\u00a0[3]<\/span><\/div>\n<div><span class=\"\"><b>2.\u00a0 \u00a0 \u00a0\u00a0<\/b>Cash collection from customers of the IFPE to credit their respective e-accounts;\u00a0[4]<\/span><\/div>\n<div><span class=\"\"><b>3.\u00a0 \u00a0 \u00a0\u00a0<\/b>e-account balance and transactions inquiries;<\/span><\/div>\n<div><span class=\"\"><b>4.\u00a0 \u00a0 \u00a0<\/b>Distribution and sale of means of utilization or payment instruments (e.g. debit cards) linked to e-accounts;<\/span><\/div>\n<div><span class=\"\"><b>5.\u00a0\u00a0\u00a0\u00a0 \u00a0<\/b>Opening of e-accounts; and<\/span><\/div>\n<div><b>6.\u00a0 \u00a0 \u00a0 <\/b>Transfers by debiting e-accounts, including payment of utilities and services.<\/div>\n<div><\/div>\n<div>IFPEs must request a specific approval from CNBV if they wish to contract with Agents regarding transactions other than Permitted Transactions.<\/div>\n<div><\/div>\n<div>Additionally, IFPEs may engage one or more managers (\u201c<b><u>Managers<\/u><\/b>\u201d), who in turn may engage additional Agents on behalf of the IFPE. The Managers and the Agents engaged by the Manager must act before the public on behalf of the IFPE regarding any Permitted Transactions. Agency mandates entered into with Managers must ensure their compliance with the Regulations.<\/div>\n<div><\/div>\n<div>\n<hr align=\"left\" size=\"1\" width=\"33%\" \/>\n<div>[1]\u00a0<i>Disposiciones aplicables a las instituciones de fondos de pago electr\u00f3nico a que se refieren los art\u00edculos 48, segundo p\u00e1rrafo, 54, primer p\u00e1rrafo, y 56, primer y segundo p\u00e1rrafos de la Ley para Regular las Instituciones de Tecnolog\u00eda Financiera<\/i>.<\/div>\n<div>[2] The agency mandate (<i>comisi\u00f3n mercantil<\/i>) is an agreement regulated in the Mexican Commerce Code (<i>C\u00f3digo de Comercio<\/i>), defined as an agreement pursuant to which an agent agrees to perform certain commercial actions on behalf of another party (principal), in accordance with instructions issued by the principal.<\/div>\n<div>[3]<span lang=\"EN-US\"> Cash withdrawal transactions through Agents are subject to a daily amount of approximately MXN $10,185 per e-account.<\/span><\/div>\n<div>[4]<a title=\"\" href=\"applewebdata:\/\/F7381746-A059-4011-8FFF-2143F0129D7B#_ftnref4\" target=\"_blank\" rel=\"noopener\" name=\"_ftn4\" data-ac-default-color=\"1\"><\/a> Cash collection transactions through Agents are subject to a daily amount of approximately MXN $27,160 per e-account.<\/div>\n<div><\/div>\n<div><b><i>Entities that are carrying out regulated activities under the Eighth Transitory Provision of the Fintech Law and that are in the process of obtaining authorization to act as an IFPE, have a six-month period following such authorization to comply with the provisions of the Regulations applicable to Agencies.<\/i><\/b>.<\/div>\n<\/div>\n<div><\/div>\n<h3><strong>Nuevas Disposiciones aplicables a Instituciones de Fondos de Pago Electr\u00f3nico<\/strong><\/h3>\n<p>El 28 de enero de 2021 la Comisi\u00f3n Nacional Bancaria y de Valores (\u201cCNBV\u201d) y el Banco de M\u00e9xico expidieron disposiciones secundarias [5] (las \u201cDisposiciones\u201d) aplicables a instituciones de fondos de pago electr\u00f3nico (\u201cIFPEs\u201d). Las Disposiciones entraron en vigor el 28 de abril de 2021.<\/p>\n<p>El objeto de las Disposiciones es, entre otras cosas, (i) otorgar certeza y seguridad jur\u00eddica a los clientes de las IFPEs respecto a las entidades con las que contratan para adquirir servicios y productos financieros, y (ii) describir las operaciones que terceros pueden realizar a nombre y por cuenta de IFPEs.<\/p>\n<p>Sujeto a la aprobaci\u00f3n de CNBV, las IFPEs pueden celebrar comisiones mercantiles [6] (\u201cComisiones\u201d) con comisionistas (los \u201cComisionistas\u201d) quienes podr\u00e1n actuar frente al p\u00fablico a nombre y por cuenta de las IFPEs \u00fanicamente respecto de las siguientes operaciones (las \u201cOperaciones Autorizadas\u201d):<\/p>\n<p>1. Retiros de efectivo efectuados por los clientes de las IFPEs contra las e- cuentas que mantienen con las mismas.[7]<br \/>\n2. Recepci\u00f3n de efectivo de clientes de las IFPEs para abono en sus e-cuentas o en cuentas de terceros.[8]<br \/>\n3. Consultas de saldos y movimientos de e-cuentas.<br \/>\n4. Puesta en circulaci\u00f3n de instrumentos para la disposici\u00f3n de fondos de pago electr\u00f3nico.<br \/>\n5. Apertura de e-cuentas.<br \/>\n6. Transferencias con cargo a e-cuentas, incluidos los pagos de servicios.<\/p>\n<p>Las IFPEs deber\u00e1n solicitar autorizaci\u00f3n de la CNBV en caso de querer ofrecer operaciones adicionales a las Operaciones Autorizadas a trav\u00e9s de Comisionistas.<\/p>\n<p>Adicionalmente, las IFPEs podr\u00e1n contratar con uno o m\u00e1s administradores de Comisionistas (\u201cAdministradores\u201d), quienes a su vez podr\u00e1n celebrar Comisiones con otros Comisionistas para celebrar Operaciones Autorizadas a nombre y por cuenta de las IFPEs. Los Administradores y los Comisionistas contratados por los Administradores deber\u00e1n actuar frente al p\u00fablico a nombre y por cuenta de las IFPEs respecto a las Operaciones Autorizadas que celebren.
