New Judicial Standard on Attorney-Client Privilege in Antitrust Investigations

On August 7, 2026, Mexico’s Federal Judicial Weekly (Semanario Judicial de la Federación) published a new isolated judicial precedent clarifying the requirements for communications between an undertaking and its lawyers to be protected by attorney-client privilege in the context of an antitrust investigation.

The new standard builds on a 2018 precedent in which the First Specialized Collegiate Court recognized the confidentiality of attorney-client communications as essential to effective legal advice. The new precedent further develops this principle by clarifying that a lawyer’s mere participation in a communication is not sufficient to trigger privilege: there must be genuine legal advice and the lawyer must provide an independent legal assessment with functional autonomy.

The underlying decision also addresses an issue of particular relevance to companies and in-house legal departments: whether an employment relationship between a lawyer and the company automatically excludes privilege. In addressing this question, the Second Specialized Collegiate Court (“Second Court”) contrasted two international approaches: the European standard developed in Akzo Nobel, which links privilege in antitrust matters to the independence of external counsel, and the U.S. approach derived from Upjohn, which recognizes privilege for communications with in-house counsel when genuine legal advice, confidentiality and professional autonomy are present.

The Second Court did not adopt an absolute rule based on whether counsel is classified as “in-house” or “external.” Instead, it held that the decisive factor is functional independence and that the assessment must be conducted on a case-by-case basis, considering the content, context and purpose of each communication.

For companies, the new standard reinforces the importance of clearly distinguishing and documenting legal advice communications from those of an operational, commercial, administrative or managerial nature. A lawyer’s employment relationship with the company is relevant to this assessment, but does not, by itself, determine whether a communication is privileged.

A través de un aviso publicado en el Diario Oficial de la Federación el 10 de enero de 2024, la Comisión Federal de Competencia Económica informó el inicio de una investigación con el fin de determinar la probable existencia de barreras a la competencia y libre concurrencia y/o insumos esenciales que puedan generar efectos anticompetitivos en el mercado del servicio público de transporte ferroviario de carga y servicios y derechos relacionados, a nivel nacional.

La investigación inició de oficio el 30 de noviembre de 2023 y podrá durar 120 días hábiles. Dicho plazo podrá ser ampliado hasta en dos ocasiones por periodos de hasta 120 días hábiles.

Through a notice published in the Official Gazette of the Federation on January 10, 2024, the Federal Antitrust Commission announced the initiation of an investigation to determine the probable existence of barriers to competition and free concurrence and/or essential inputs that may generate anticompetitive effects in the public railroad transportation services and related services and rights market, at the national level.

The investigation initiated ex officio on November 30, 2023, and may last 120 business days. This period may be extended up to two times for up to 120 business days.

La investigación inició derivado de una denuncia, el 6 de enero de 2023, y podrá durar 120 días hábiles (con cuatro posibles extensiones de 120 días, cada una).

Las multas por este tipo de prácticas pueden ser de hasta el 8% de los ingresos de las empresas que sean identificadas como responsables, con independencia de cualquier repercusión civil aplicable.

COFECE investigates a complaint for alleged abuse of dominance in the market of development, marketing, and sale of digital goods and/or services, as well as related services.

Through a notice published in the Official Gazette of the Federation on July 3, 2023, the Federal Economic Competition Commission (COFECE) informed the initiation of an investigation for the possible commission of abuse of dominance practices (tied sales) in the market for the development, marketing, and sale of digital goods and/or services, as well as related services.

The investigation began due to a complaint on January 6, 2023, and may last 120 business days (with four possible extensions of 120 days each).

Fines for this type of violation may be up to 8% of the revenues of the companies identified as responsible, regardless of any applicable civil repercussions.

A través de un aviso publicado en el Diario Oficial de la Federación el 1 de junio de 2023, la Comisión Federal de Competencia Económica informó el inicio de una investigación por la posible comisión de prácticas monopólicas absolutas en el mercado de la distribución y exhibición de películas en salas de cine, así como en los servicios complementarios ofrecidos en éstas, en el territorio nacional.

Esta es la primera vez que la Comisión indaga ese tipo de prácticas en la industria de cine.

COFECE investigates a possible cartel in the market for the distribution and exhibition of films in movie theaters and complementary services offered therein, in Mexico

By means of a notice published in the Federal Official Gazette on June 1st, 2023, the Federal Economic Competition Commission announced the investigation of an alleged cartel in the market for the distribution and exhibition of films in movie theaters and complementary services offered therein.

This is the Commission’s first investigation into such practices in the cinema industry.

The investigation began on November 30th, 2022, and would take 120 business days (with four possible extensions of 120 days each).

Fines for such practices can be up to 10% of the revenues of companies that are identified as responsible, in addition to the administrative and criminal penalties that may apply to the involved individuals.

COFECE commences an investigation of a possible cartel in the market for commercialization and distribution of scopolamine in Mexico

By means of a notice published in the Federal Official Gazette on May 2, 2023, the Federal Economic Competition Commission (Commission) announced the commencement of an investigation regarding a possible cartel in the market for the commercialization and distribution of scopolamine (Hyoscine, Butylscopolamine bromide, Scopolamine butylbromide, Hyoscine butylbromide, N-Butylbromide Scopolamine, Hyoscine butylbromide and related) in the national territory.

It is worth noting that health was identified as a priority sector in the Commission’s Strategic Plan for 2022-2025. This investigation adds to various efforts that the Commission has made between 2016 and 2021 to identify unlawful practices in the pharmaceutical industry, particularly in the markets for the production, distribution, and marketing of medicines, public bids of laboratory and blood bank studies, as well as toothbrushes, condoms, and latex probes.

The investigation began on October 26, 2022, and may take 120 business days (with four possible extensions of 120 days, each).

Fines for such practices may equal up to 10% of the revenues of companies that are identified as responsible for this practice, in addition to administrative and criminal penalties that may apply to the involved individuals.

Alerta de Competencia Económica – COFECE inicia investigación por posibles prácticas monopólicas absolutas en el mercado de distribución y comercialización de escopolamina en México

A través de un aviso publicado en el Diario Oficial de la Federación el 2 de mayo de 2023, la Comisión Federal de Competencia Económica (Comisión) informó el inicio de una investigación por la posible comisión de prácticas monopólicas absolutas en el mercado de comercialización y distribución de escopolamina (Hioscina, Butilescopolamina bromide, Escopolamina butilbromide, Hioscina butilbromide, N-Butilbromide Escopolamina, butilbromuro de hioscina y relacionados) en el territorio nacional.

Cabe destacar que el sector salud fue identificado como prioritario en el Plan Estratégico de la Comisión para los años 2022-2025. Esta investigación se suma a diversos esfuerzos que ha hecho la Comisión entre 2016 y 2021 para identificar prácticas anticompetitivas en la industria farmacéutica, particularmente en los mercados de producción, distribución y comercialización de medicamentos; contratación pública de estudios de laboratorio y banco de sangre, así como cepillos dentales, condones y sondas de látex.

La investigación inició el 26 de octubre de 2022, y podrá durar 120 días hábiles (con cuatro posibles extensiones de 120 días, cada una).

Las multas por este tipo de prácticas pueden ser de hasta el 10% de los ingresos de las empresas que sean identificadas como responsables de cometer esta práctica, además de las sanciones administrativas y penales que pueden resultar aplicables para los individuos involucrados.

El 30 de junio de 2022, la Comisión Federal de Competencia Económica (COFECE) informó, a través de un aviso en el Diario Oficial de la Federación, el inicio de una investigación por la posible existencia de barreras a la competencia y libre concurrencia y/o insumos esenciales (artículo 94 de la Ley Federal de Competencia Económica) en el mercado de autotransporte federal de pasajeros que utiliza terminales para el ascenso y descenso de pasajeros, y servicios relacionados.

La investigación podrá tener un plazo de 30 a 120 días hábiles (con dos posibles extensiones).

On June 30, 2022, the Mexican Antitrust Commission (COFECE) reported in the Official Gazette, the initiation of an investigation regarding the probable existence of barriers to competition and/or essential inputs (article 94 of the Federal Antitrust Law) in the federal passenger transportation market that uses terminals for the boarding and disembarking of passengers and related services markets.

The investigation should take from 30 to 120 business days (with two possible extensions).
