Julián J. Garza is partner at Nader Hayaux Goebel. His practice areas include banking and finance, mergers and acquisitions, capital markets, telecom and structured and project finance.

He has worked in some of the largest structured finance and capital markets transactions, representing both sponsors and financial intermediaries. His most recent cases include securitization deals related to infrastructure projects, and local and cross-border issuances of securities.

Julián also regularly works in financing transactions, as well as specialized banking and financial and telecom regulatory work, debt restructurings, structuring and implementation of equity funds, including in the real estate and infrastructure markets.

His mergers and acquisitions practice expands to a variety of industries, including real estate, fintech, financial intermediaries and infrastructure facilities, advising on foreign investment acquisitions and joint venture transactions, among others.

Julián is a graduate of Universidad Panamericana (attorney at law 1997, summa cum laude). He has a Master of Law degree
(LL.M.) from the University of Texas at Austin (1999), where he was awarded a fellowship.

He worked as foreign associate at Mayer Brown (Chicago, 2002–2003). He is a professor of international financial law and financial intermediaries at Universidad Panamericana in Mexico City and has been a lecturer of Mexican Business and Commercial Law at the University of Texas in Austin

Julián is a member of the National Association of Corporate Counsels. Banking and Finance

  • Advised HSBC Mexico in multiple structured and asset-backed financings in favor of financial and industrial entities, using as source of payment a variety of receivables, from pension, payroll and consumer loans to car and lease-related assets, through complex structures involving source of payment vehicles, security trusts and multiple layers of administration of receivables.
  • Advised one of the largest private equity firms focused on receivables securitizations as lender in hybrid securitizations of car-related receivables originated by one of the largest Mexican banks. The transactions have comprised private loans, alongside the issuance of publicly offered trust certificates.
  • Advised multiple financial institutions, including Scotiabank, BBVA, Sabadell, Ve X Mas, Actinver and Banorte, in a large number of real estate financings for the development and operation of industrial, residential and office facilities, as well as with respect to infrastructure projects, involving a variety of complex structures.
  • Advised multiple foreign financial institutions, including Rabobank, Bank of America, ABN AMRO, UBS, Citibank, Scotia and HSBC, regarding the applicable regulatory framework for their respective businesses and operations in Mexico.
  • Advised a European financial services company in the design, structuring and implementation of financial products for the Mexican market, including the analysis of the applicable regulatory framework, the preparation of the contractual documentation, and compliance with Mexican financial transparency, anti-money laundering, data privacy and tax regulations.
  • Advised Mexican financial institutions in the implementation of digital banking, credit and investment advisory services to be offered through electronic means, including with respect to the contractual and regulatory affairs associated therewith.
  • Advised several Prudential entities (insurance companies) in connection with multiple private placements of notes, including on the acquisition of USD 75 million notes issued by Softtek Integration Systems, in a private placement secured by account receivables.
  • Advised Murano 2000, a BVG World subsidiary, on obtaining a USD 191.5 secured financing to construct and develop the mega tourism project Grand Island Cancun from Banco Sabadell, Caixabank and Bancomext.
  • Advised multiple local and foreign entities in connection with the incorporation, acquisition, transformation and establishment of a number of financial entities, including SOFOMS, SOFIPOS, banks, investment advisors, brokerage entities, and fintech companies, as well as with respect to the regulatory framework applicable thereto.
  • Advised multiple banking institutions in issuing, non-preferred, non-convertible, subordinated debentures to strengthen its capital structure.

 

Mergers & Acquisitions

  • Advised Vehlo Purchaser in connection with the acquisition of 100% of the capital stock of TCC Tecate, the Mexican subsidiary of Car Dealer Promotions; a cross-border acquisition involving target entities in the US and Mexico.
  • Advised JP Sofiexpress, a Mexican SOFIPO, in selling 100% of the shares representing the company’s capital stock in favor of DiDi Group.
  • Advised the shareholders of Banco Finterra on the sale of 100% of the shares representing the capital stock of Banco Finterra as well as on various banking regulatory, antitrust, and tax issues in connection with the sale.
  • Advised a European financial institution in connection with the sale of the capital stock of a Mexican banking institution. The transaction required obtaining authorization from the National Securities and Banking Commission.
  • Advised Harvard Management Company on its USD 145 million indirect investment in Aztecavo, a Mexican subsidiary of Westfalia Fruit International.
  • Advised Colony Capital, in its acquisition of the Abraaj Group’s private equity platform in Latin America, specifically in the acquisition of Abraaj Mexico Advisers.
  • Advised private equity firm AIP on the acquisition of Moly-Cop México and Servicios Moly-Cop, Mexican entities forming part of Arrium’s Moly-Cop Division.
  • Advised one of the largest retail and financial groups in Mexico in the acquisition of an equity stake at a Mexican company focused on particular sub-sectors of the retail manufacturing industry.

 

Capital Markets

  • Advised Murano Group with respect to the first De-Spac transaction carried out in the Mexican hotel market, as well as on the issuance of a 144-A / Reg-S international bond, in connection with the development of multiple hospitality facilities in Quintana Roo, Mexico with a value of approximately USD 1 billion.
  • Advised multiple financial institutions with respect to the structuring and implementation of investment funds to target a variety of industries, including real estate and infrastructure, implementing private equity mechanisms, among many other features.
  • Advised PGIM Real Estate in the incorporation of private equity funds in Mexico for investment in the real estate industry, as well as on a variety of joint ventures with Mexican developers for the investment, development and construction of industrial facilities in Mexico.
  • Advised Mota-Engil Mexico, and acted as transaction counsel, in a MXN 1,950 million securitization of collection rights stemming from a Public-Private Partnership Services Agreement for the rehabilitation, conservation and maintenance of the Coatzacolacos – Villahermosa highway.
  • Advised Acciones y Valores Banamex as lead underwriter in the placement of CKDs by PGIM in the Mexican market with a target total committed issuance amount of MXN 4.422 billion.
  • Advised Grupo O’Donnell in the structuring and placement of structured notes (CKDs) in the Mexican Stock Exchange for a total committed issuance amount of MXN 2 billion, to invest in industrial real estate and urban infrastructure.
